2. Purpose of the Terms & Conditions

These Terms & Conditions (“T&Cs”) define the rules governing access to and use of the website lend.xyz (the “Site”), which enables users to invest in tokenized bonds issued by legally structured Special Purpose Vehicles (“SPVs”) owning real-world real estate assets.

Using the Site implies full acceptance of these T&Cs.


3. Description of the Service

LEND REAL ESTATE SA operates a blockchain-based platform allowing users to:

  • invest in obligations issued by SPVs owning real estate
  • receive these obligations in the form of opLend tokens minted onchain
  • claim yields and interest generated by the underlying real estate
  • hold and transfer their positions onchain securely

LEND acts as both the platform operator and the bond issuer through SPVs, without any financial intermediation.

Access to the Site is free; internet connection fees remain under the user’s responsibility.


4. Access and User Eligibility

4.1 Eligible users

Service access is strictly reserved for:

  • Individuals over 18 years old, legally capable
  • Legal entities represented by an authorized officer

Minors and legally incapacitated persons are strictly prohibited from investing.

4.2 Required information

Before investing, users must provide:

  • Full name
  • Postal address
  • Email address
  • (For companies: company name, address, email)

No full KYC procedure is required unless mandated by future applicable laws.

4.3 Account suspension

LEND may suspend or block an account in cases of:

  • suspected fraud
  • suspected money laundering or terrorist financing
  • abnormal or technically harmful behavior
  • violation of these T&Cs

5. Investment Rules

5.1 Nature of the securities

opLend tokens represent bonds issued by a dedicated SPV that holds the real estate asset.

They are not:

  • shares of a real estate company or SCI
  • guaranteed investment products
  • bank deposits
  • regulated savings products
  • instruments covered by any public guarantee mechanism

5.2 Payment methods

Investments can be made exclusively in cryptocurrencies, including:

  • any cryptocurrency supported by the platform

Bank transfers and fiat payments are not accepted.

Crypto funds are received via Coinbase Prime before being transferred to the corresponding SPV.

5.3 Fund custody

Funds are:

  • held temporarily in multisig-controlled smart contracts
  • transferred to the appropriate SPV as part of the financing process

LEND never has access to users’ private keys.

5.4 Withdrawal rights

Investments in tokenized bonds do not benefit from any withdrawal period.

No automatic refunds apply.


6. Investment Risks

Investing in tokenized real estate exposes users to several risks:

6.1 Real estate market risk

Real estate values may fluctuate.

While a property cannot realistically lose 100% of its value, its price may decrease, which can impact returns and capital recovery.

6.2 Rental risk

Income may vary depending on:

  • occupancy rate
  • tenant quality
  • unexpected maintenance or repair costs
  • vacancy periods

6.3 Technical risk

Onchain investing carries risks including:

  • blockchain congestion or downtime
  • increased gas fees
  • smart contract vulnerabilities or exploits
  • cross-chain messaging failures (LayerZero)
  • stablecoin depeg risk
  • wallet mismanagement by users

6.4 Liquidity risk

There is no secondary market at launch.

Liquidity is not guaranteed and resale may not be immediately possible.

6.5 Structural risk

Even in the event of an operational incident affecting LEND, each SPV remains independent and holds the property backing the issued obligations.

Bondholders retain their contractual rights through the SPV structure.

6.6 No guarantee

Investments made through LEND are not covered by:

  • any deposit guarantee scheme
  • any investor indemnification scheme

Users acknowledge the possibility of partial capital loss, although total loss is highly unlikely due to the inherent residual value of real estate.


7. Referral Program

LEND offers a referral program as follows:

For the referrer

  • 1% of the amounts invested by each referred user for 12 months
  • No annual cap

For the referred user

  • Allocation of Lend Points (internal reward system)
  • Minimum investment: 10 USDC

Marketing bonuses may be offered occasionally and may be combined with referral rewards.

LEND may modify or suspend the referral program at any time; accrued rewards remain owed.


8. User Responsibilities

The user is solely responsible for:

  • securing their devices and wallet
  • safeguarding their private keys
  • maintaining confidentiality of login credentials
  • their investment decisions

LEND does not provide investment advice or personalized recommendations.


9. LEND’s Responsibilities

LEND is only liable:

  • in cases of proven direct fault
  • excluding all indirect damages (loss of profit, opportunity, or data)

In case of a technical incident, hacking attempt, or vulnerability, LEND commits to making best reasonable efforts to resolve it.

If a breach occurs due to user negligence (e.g., compromised wallet), the user is fully responsible.


10. Blockchain & Security Disclaimer

LEND cannot guarantee:

  • continuous availability of blockchain networks
  • consistent gas fees
  • absence of bugs, exploits, or vulnerabilities
  • real-time cross-chain execution
  • stable network performance

The user acknowledges that blockchain systems involve risks beyond LEND’s control.


11. Cookies

The Site uses cookies for:

  • essential site functionality
  • analytics
  • improving user experience

A cookie consent banner and dedicated cookie policy are displayed upon first visit.


12. External Links

The Site may contain external links.

LEND is not responsible for:

  • the content of third-party websites
  • their security
  • their data handling practices

13. Intellectual Property

All content on the Site—including code, visuals, designs, branding, documentation, smart contracts, and data models—is the exclusive property of LEND REAL ESTATE SA.

Reproduction, modification, or reuse without prior written authorization is strictly prohibited.


14. Service Suspension

LEND may suspend or interrupt access to the Site at any time, without prior notice, for:

  • maintenance
  • updates
  • security reasons
  • operational needs

No compensation can be claimed for such interruptions.


15. Integrated Privacy Policy

LEND does not collect KYC-level data unless legally required.
